End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "Licensee") and Denormal Audio LLC ("Denormal Audio," "Denormal," "Licensor," "we," "us," or "our") for the software product(s) you have licensed, including any related documentation, updates, and upgrades ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

Summary

You may:

  • Activate our software products on up to 3 of your own devices
  • Use our products to make music (commercial or personal)
  • Transform your own MIDI or audio into personal creative works

You may not:

  • Share, resell, or redistribute our products
  • Let someone else use products licensed to you
  • Use our products to develop competing products
  • Use our products to train AI or machine learning models
  • Use our products to infringe upon intellectual property rights or violate copyright law

1. License, Not Ownership

The Software is licensed, not sold. Denormal Audio LLC retains full ownership and copyright of all original source code, compiled binaries, algorithms, presets, graphics, sound media, and documentation. This license is personal to you and non-transferable.

2. Rights

Denormal Audio grants you a non-exclusive, revocable, single-user license to:

  • Activate the Software concurrently on up to three (3) devices that you personally own and operate (e.g., a studio desktop, laptop, and backup system).
  • Use the Software to create original musical works, performances, or productions for commercial or personal use, with no additional fees or royalties owed to Denormal Audio.
  • Process your own content. The Software may transform audio, MIDI data, or other content that you provide. You keep full ownership of your original input material.
  • Use across media. Your finished works may be used in albums, film, television, video games, podcasts, advertisements, live streams, live performances, and any other media.
  • Transfer your license to another individual only if you contact Denormal Audio to request such a transfer, completely uninstall the Software from all personal devices, and the recipient agrees to this EULA. Any license transfer is at the sole discretion of Denormal Audio.

3. Restrictions

You may not:

  • Share, copy, duplicate, upload, download, transfer, resell, loan, or make any part of the Software available to others by any means (except as allowed in Section 2 above).
  • Reverse engineer, decompile, disassemble, modify, or create derivative works from the Software.
  • Remove or alter any copyright, trademark, or proprietary notices.
  • Build competing products. You may not use the Software or its output to create derivative music-production products including but not limited to sample libraries, virtual instruments, MIDI effect plugins, audio effect plugins, sample packs, loop libraries, or any similar product, whether free or commercial.
  • Use the Software as "software as a service" or on a multi-user system.
  • Let others use your Software activation. This license is for you alone.
  • Train AI. You may not use the Software, its content, or any output generated by it as training data for artificial intelligence, machine learning models, neural networks, or similar automated systems without express written permission from Denormal Audio.

4. Your Content

Section A – Your Representations & Warranty

By using the Software, you represent and warrant that:

  • License or Ownership of Content. You own, or have obtained all necessary licenses, permissions, and clearances for any and all audio files, MIDI data, musical works, or other content that you input, load, stream, or otherwise provide to the Software ("Your Content").
  • Non-Infringement. Your Content does not and will not infringe, misappropriate, or otherwise violate any copyright, trademark, patent, trade secret, right of publicity or privacy, or any other intellectual property right of any third party.
  • Indemnification. You agree to indemnify, defend, and hold harmless Denormal Audio LLC and its officers, employees, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of: (a) any claim that Your Content infringes or violates the intellectual property rights of a third party; (b) your use of the Software with any Content for which you did not obtain sufficient rights in violation of this EULA; or (c) your violation of any third party's intellectual property rights through any other means.

Section B – No Monitoring Obligation

Denormal Audio does not pre-screen, monitor, review, or assume any responsibility for Your Content. We cannot and do not verify whether Your Content infringes third-party rights. You use the Software at your own risk with respect to the legality of Your Content.

Section C – Ownership of Output

All ownership rights in any musical work, composition, or recording created using the Software remain solely with you, subject to your ownership of or license to the underlying Content as set forth in Section A above. Denormal Audio claims no copyright or other ownership interest in creative works produced using the Software.

5. AI Training Prohibition

You may not use the Software, any portion of it, or any raw, isolated, or bulk products exported from it to train, develop, or improve any artificial intelligence, machine learning, neural network, or similar system. This includes both commercial and research applications. Denormal Audio LLC does not grant any implied license for AI training.

6. Data Collection & Privacy

When you install or use the Software, Denormal Audio may collect basic usage data (e.g., crash reports, feature usage, plugin version, host DAW) to improve our products. We will not collect your audio, MIDI data, or other personal, creative content. We may send you occasional product news and updates to the email you provided when purchasing your license; you may unsubscribe at any time. Full details may be found in our Privacy Policy.

7. Updates & Upgrades

During the life of the Software, Denormal Audio may provide incremental updates (e.g., bug fixes, optimizations, quality-of-life improvements) for free at its discretion. Major updates (e.g., significant new features) may require the user to purchase a new license. We are not obligated to provide updates. You are responsible for installing updates in a reasonable timeframe.

8. Third-Party Components

If the Software includes any third-party code, libraries, or content (e.g., open-source components), their separate license terms are distributed with the Software. Your use of those components is governed by their respective licenses. This EULA does not override the terms set forth in such licenses.

9. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. Denormal Audio LLC disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or compatible with all systems and DAWs. Denormal Audio is under no obligation to update the Software to maintain compatibility with future hardware, operating systems, and host applications. You assume all risk for installation and usage of the Software.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL DENORMAL AUDIO LLC BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES including but not limited to lost profits, damaged equipment, data corruption, or business interruption arising out of or related to the Software, even if advised of the possibility of such damages.

11. Refunds

All sales are final unless otherwise required by local law. Refunds may be considered on a case-by-case basis at the sole discretion of Denormal Audio LLC.

12. Termination

This license is effective from the moment you install or use the Software and continues until terminated. Your license terminates automatically if you violate any term of this EULA. Upon termination, you must deactivate and delete all copies of the Software from your systems. Termination does not relieve you of surviving obligations (e.g., indemnification, limitations of liability).

13. Governing Law & Disputes

This EULA is governed by the laws of New York, USA, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

Any dispute arising from usage of the Software or from this EULA shall be brought exclusively in the state or federal courts located in New York, USA. You waive any right to participate in a class action.

14. Changes to The EULA

Denormal Audio LLC may update this EULA at its discretion. Updated terms will be posted on the official website and will indicate the date of revision. Licenses remain governed by the EULA in effect at the time of purchase. If you continue using our Software after a revised EULA is posted, you are deemed to accept the updated terms for future purchases and updates.

15. General

  • This EULA constitutes the entire agreement between you and Denormal Audio LLC regarding the Software and supersedes all prior or contemporaneous communications, agreements, or understandings.
  • If any part of this EULA is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Denormal Audio's failure to enforce any right is not a waiver.
  • You may not assign this EULA without our written consent.
  • All rights not explicitly granted are reserved by Denormal Audio LLC.
